CMA proposes IPO rule amendments

The Capital Market Authority opened consultation on draft provisions tightening IPO book-building, underwriting and disclosure practices. Under the proposals, underwriting agreements would need to be effective before book-building begins, and proof of investor liquidity would be limited to cash or cash equivalents, per Boards and Capital. Prospectuses would be required to carry at least one year of forward-looking financial indicators. The 30-day consultation closes on 22 October 2026, with implementation targeted for 2 November 2026. Separately, the CMA issued a resolution approving the public offering by Saaf Capital of the Saaf Saudi Riyal Murabaha Fund, noting the approval reflects compliance with the Capital Market Law and its Implementing Regulations and should not be considered an investment recommendation, according to Maaal.
